Capital Markets
Advisory on public and private capital raising, listings and securities compliance.
Capital Markets overview
Public and private capital raising in Pakistan is regulated under the Securities Act, 2015, which governs securities exchanges, clearing houses and central depositories and requires each to hold a licence from SECP. Trading itself runs on rules framed under the Securities Act, 2015 together with the Futures Market Act, 2016, consolidated in the Pakistan Stock Exchange’s own Rule Book, while settlement and custody of listed securities runs through the Central Depository Company under the Central Depositories Act, 1997. An issuer bringing equity or debt to market, whether through a public offering or a private placement, has to satisfy SECP’s disclosure requirements at the offering stage and PSX’s listing and ongoing disclosure requirements once listed — two related but distinct sets of obligations that don’t end at closing. KBL & Associates advises issuers, arrangers and investors through this framework, from structuring the offering itself to the disclosure and compliance obligations that follow it.

Other practice areas
Foreign issuers and investors
Listing, disclosure and securities compliance work is often instructed by investors and sponsors who are not resident in Pakistan. Board and shareholder formalities are structured so that resolutions signed abroad are accepted by the SECP and the exchange first time.
Overseas instructions are a routine part of the firm’s work rather than an exception. Where a matter also touches family law — guardianship, succession or a child’s documents — it is handled by the same firm rather than referred out. See child adoption and guardianship from Pakistan or all thirteen practice areas.
